OVERVIEW

This website is operated by Blue Scorpion Inc. (“we,” “us,” “our”) and its affiliated entity, Scorpion Venom Foundation LLC (“the Foundation”). Together, these entities are referred to collectively as “Blue Scorpion.”

Blue Scorpion Inc. (Florida) manages the commercial and customer-facing operations of the Blue Scorpion brand, including all e-commerce activities conducted through bluescorpion.com. Scorpion Venom Foundation LLC (Wyoming) operates bluescorpion.io, which functions as the educational and research-transparency platform supporting decentralized-science (“DeSci”) initiatives.

By visiting our sites or purchasing from us, you agree to be bound by these Terms of Service (“Terms”) and all policies referenced herein.

Our online store is hosted on Shopify Inc., which provides the e-commerce platform enabling us to offer products and related services.

SECTION 1 – ONLINE STORE TERMS

By agreeing to these Terms, you represent that you are of legal age in your jurisdiction or have obtained parental consent. You may not use our products for any unlawful or unauthorized purpose. Violation of any term may result in immediate termination of your access.

SECTION 1A – AFFILIATED WEBSITES AND ENTITIES

Blue Scorpion operates two official digital properties:

• bluescorpion.com – operated by Blue Scorpion Inc., responsible for all product sales, transactions, and customer interactions.

• bluescorpion.io – operated by Scorpion Venom Foundation LLC, responsible for educational content, decentralized-science initiatives, and research transparency.

Use of either domain signifies acceptance of these Terms. All retail transactions occur solely through bluescorpion.com. The bluescorpion.io website does not conduct product sales or process payments. References to blockchain technology or digital rewards on bluescorpion.io are provided solely for educational and transparency purposes and do not constitute any financial offer.

SECTION 2 – GENERAL CONDITIONS

We reserve the right to refuse service to anyone for any reason at any time. You agree not to reproduce, duplicate, copy, sell, or exploit any portion of the Service without our written permission. Your content (excluding payment data) may be transferred unencrypted across networks as required for technical processing; payment data remains encrypted during transmission.

SECTION 3 – PRODUCT AND HOMEOPATHIC DISCLOSURE

Blue Scorpion Pain & Inflammation Relief is an FDA-listed homeopathic OTC medicine (NDC 83627-901-01 / 901-02) with active ingredients recognized in the Homeopathic Pharmacopoeia of the United States (HPUS). Statements on this website have not been evaluated by the FDA and are not intended to diagnose, treat, cure, or prevent any disease.

SECTION 4 – PRODUCTS AND SERVICES

Product descriptions, pricing, and availability may change without notice. We reserve the right to limit sales by region or quantity and to discontinue products or services at any time.

SECTION 5 – DIGITAL ASSETS, TOKENS, AND REWARDS PROGRAM

Scorpion Venom Foundation LLC may operate optional digital engagement programs, such as loyalty points, digital rewards, or educational badges, collectively referred to as Blue Scorpion Rewards. These programs are designed for community engagement and research transparency only. They have no monetary value, are non-transferable, and do not represent ownership, equity, or any right to profit.

SECTION 5A – BRAND TOKEN ADMINISTRATION ($VENOM TOKEN) The $VENOM token is administered by Scorpion Venom Foundation LLC under a non-exclusive intellectual-property license granted by Blue Scorpion Inc. This license authorizes the Foundation to use the Blue Scorpion® name, marks, and related branding solely in connection with research transparency, decentralized science (“DeSci”) participation, community engagement, and ecosystem governance activities conducted through bluescorpion.io.

Within the context of this retail Terms of Service, the $VENOM token is described solely as a brand engagement and research-transparency instrument. It carries no monetary or speculative value, confers no ownership interest in Blue Scorpion Inc. or any affiliate, and is not offered or marketed as an investment, security, or financial product.

Any on-chain issuance, transfer, staking, or exchange functionality of the $VENOM token is governed exclusively by the Scorpion Venom Foundation Token Terms (the “Token Terms”), available at bluescorpion.io. Participation in any blockchain-based program involving the $VENOM token constitutes acceptance of those Token Terms and is subject to all applicable laws and regulations within the user’s jurisdiction.

Blue Scorpion Inc. does not issue, sell, or manage the $VENOM token, nor does it maintain custody of any blockchain assets. The Foundation operates all token-related smart contracts, data registries, and DeSci integrations independently.

SECTION 6 – RESEARCH PARTICIPATION AND DATA CONSENT

Users participating in any surveys or optional feedback programs through bluescorpion.com or bluescorpion.io consent to the use of anonymized, aggregated, or de-identified information for educational, analytical, or customer-experience improvement purposes.

Product users who purchase through bluescorpion.com may receive follow-up surveys or feedback requests directly from Blue Scorpion Inc. via Shopify or related service platforms. These surveys are solely intended to evaluate product satisfaction, user experience, and overall service quality.

Visitors or participants engaging with bluescorpion.io may also receive optional surveys aimed at improving educational content, platform usability, and overall user engagement. These are for feedback and business-improvement purposes only and are not part of any clinical or scientific research.

All scientific or clinical research related to the Blue Scorpion ecosystem is conducted exclusively by independent contract research organizations (CROs), including but not limited to Reputable Health. Blue Scorpion Inc. and Scorpion Venom Foundation LLC do not conduct human or clinical studies directly, and no research participation is offered through either website.

All blockchain infrastructure and decentralized-data technology referenced on bluescorpion.io are provided and operated by third-party partners, including Pump.Science and Reputable Health. Blue Scorpion Inc. and Scorpion Venom Foundation LLC do not directly operate or maintain blockchain nodes, networks, or ledgers.

No personally identifiable or health-related information is stored, transmitted, or placed on blockchain systems by Blue Scorpion Inc. or Scorpion Venom Foundation LLC.

SECTION 7 – ACCURACY, ERRORS, AND MODIFICATIONS

We strive for accuracy but cannot guarantee that all information is error-free or current. We reserve the right to correct inaccuracies or modify site content at any time without prior notice.

SECTION 8 – PROHIBITED USES

You agree not to use our sites or services for unlawful purposes, to violate regulations, to transmit malicious code, or to interfere with security operations. We may suspend or terminate access for any prohibited activity.

SECTION 9 – DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

SECTION 10 – INDEMNIFICATION

You agree to indemnify and hold harmless Blue Scorpion Inc., Scorpion Venom Foundation LLC, and their officers, employees, and affiliates from any claims or expenses arising from your violation of these Terms or applicable law.

SECTION 11 – GOVERNING LAW AND ARBITRATION

All retail transactions and consumer disputes relating to bluescorpion.com are governed by the laws of the State of Florida, with binding arbitration in Miami-Dade County, Florida, under the Federal Arbitration Act. Digital, educational, or blockchain-related matters pertaining to bluescorpion.io are governed by the laws of the State of Wyoming, with venue in Teton County, Wyoming. Users agree to resolve disputes only with the entity relevant to their transaction and may not consolidate claims involving both entities.

SECTION 12 – INDEPENDENT ENTITIES

Blue Scorpion Inc. and Scorpion Venom Foundation LLC are legally distinct entities. Each maintains independent governance, accounting, and operations and shall not be deemed the agent or alter ego of the other. All goodwill in the Blue Scorpion® brand and related marks remains the exclusive property of Blue Scorpion Inc.

SECTION 13 – ENTIRE AGREEMENT

These Terms constitute the complete understanding between you and Blue Scorpion, superseding all prior agreements or communications. No waiver of any term shall be deemed continuing unless in writing.
